We advise on succession planning matters with a particular focus on succession in the case of a sole trader.

We provide comprehensive legal assistance in the regulation of property matters between spouses. This includes matrimonial property issues relating to business activities and the participation of one spouse in a commercial company. We represent clients in matters of division of joint property.

Commercial and corporate disputes

We deal with commercial disputes including claims under warranty, guarantee, non-performance or improper performance of an obligation.

We represent clients’ interests in corporate disputes such as subsidiary liability of management board members, sole shareholders, and dissolution of a company.

Unfair competition

We represent clients’ interests in civil and criminal cases of unfair competition. We introduce solutions within the organisation to strengthen the protection of business interests in the context of unfair competition, in particular the protection of business secrets.

Our experience includes:

• representing injured entrepreneurs in civil and criminal proceedings for acts of unfair competition;
• defence in criminal cases of persons suspected of acts of unfair competition;
• due diligence of documentation and introduction of solutions within the organisation to strengthen the organisation’s protection against acts of unfair competition;

Unfair competition are acts contrary to the law or good practices that threaten or violate the interest of another entrepreneur or client. The purpose of these actions is to unlawfully gain a market advantage over competitors. This purpose might be served by, inter alia, obtaining information that constitutes a competitor’s business secrets, copying products or disseminating false information.

Protection of personal rights

We advise on the protection of personal rights, in particular how to protect personal rights and use personal rights effectively and safely in business dealings and the public sphere. We assist entities in the protection of their reputation and good name.

We take legal steps to counteract the consequences of violations of personal rights that have already occurred and pursue civil law claims related to the protection of personal rights, in particular:

• we represent clients in court proceedings concerning personal rights;
• we provide opinions on press materials and other publications and content from the point of view of the risk of personal rights infringement and potential claims;
• we prepare contracts and legal opinions on marketing, artistic activities, or sponsorship activities.

Civil law regulates relations between equivalent (at least in theory) private law entities, and is divided into many sub-branches, including contract law, property law, inheritance law, labour law, unfair competition law, and copyright and industrial property law.

Within the scope of civil law cases, we deal in particular with commercial matters, as we have experience in negotiating and drafting contracts in the field of commercial law. We represent entrepreneurs in court cases, including cases related to the fight against unfair competition.
